These Terms of Use ("Terms") govern your access to and use of burton-solutions.com and any related webpages, content, downloads, forms, and services operated by Burton Solutions, LLC ("Burton Solutions," "we," "us," or "our"). By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter into a binding agreement to make a purchase or request consulting services. If you use the website on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Website information; no professional or regulatory advice
The website and its educational content are provided for general informational purposes. They do not constitute legal advice, regulatory advice, certification, an audit opinion, or a guarantee of compliance or business results. Quality and compliance requirements vary by organization, industry, product, jurisdiction, and facts. You remain responsible for determining applicable requirements and for obtaining qualified legal, regulatory, accounting, technical, or other professional advice when appropriate.
Purchasing a digital product or submitting a contact form does not create a consultant-client, attorney-client, fiduciary, or other professional relationship. A consulting relationship begins only when Burton Solutions accepts an engagement in writing or performs an expressly purchased consulting service under applicable terms.
3. Digital products and consulting services
Digital products are governed by the Digital Product License posted on the website, which is incorporated into these Terms. Refunds and consulting cancellation or rescheduling are governed by the Refund Policy. If the specific terms of a signed consulting agreement or statement of work conflicts with these Terms, those specific terms of the signed agreement control for that engagement, although the general Terms herein apply to the extent not addressed in the signed agreement.
Product descriptions, availability, pricing, and included features may change before purchase. We may correct typographical errors, inaccuracies, or pricing errors and may cancel or refuse an order affected by an error, in which case amounts paid for the cancelled item will be refunded.
4. Intellectual property
The website and its content—including text, graphics, logos, branding, methodologies, product designs, templates, presentations, spreadsheets, documents, prompts, and compilations—are owned by or licensed to Burton Solutions and are protected by intellectual-property laws. "Burton Solutions," the Burton Solutions logos, and the Burton Filter and related branding may not be used without prior written permission. Purchasing a product grants only the limited rights stated in the Digital Product License; ownership is not transferred.
5. Acceptable use
You may use the website only for lawful purposes. You may not:
· copy, scrape, republish, frame, mirror, distribute, sell, or commercially exploit website content except as expressly permitted in writing;
· interfere with the website, introduce malicious code, bypass access controls, test vulnerabilities without authorization, or impose an unreasonable load on the website or its service providers;

You retain ownership of your feedback, but you grant Burton Solutions a nonexclusive, worldwide, royalty-free right to use nonconfidential suggestions and feedback to improve its offerings, without identifying you or otherwise providing attribution.

BURTON SOLUTIONS DOES NOT WARRANT THAT ANY TEMPLATE, TOOLKIT, RECOMMENDATION, OR SERVICE WILL SATISFY A PARTICULAR LAW, REGULATION, STANDARD, AUDITOR, REGISTRAR, CUSTOMER, OR BUSINESS OBJECTIVE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BURTON SOLUTIONS AND ITS OWNER, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE WEBSITE, CONTENT, DIGITAL PRODUCTS, FREE DOWNLOADS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF BURTON SOLUTIONS FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE, CONTENT, OR A DIGITAL PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID BURTON SOLUTIONS FOR THE SPECIFIC PRODUCT OR WEBSITE TRANSACTION GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS ($100). LIABILITY ARISING FROM CONSULTING SERVICES IS GOVERNED BY THE APPLICABLE SIGNED CONSULTING AGREEMENT OR, IF NONE, THIS SECTION.
These limitations apply regardless of the legal theory and to the fullest extent allowed. They do not exclude or limit liability that cannot lawfully be excluded or limited, including any liability that applicable law requires to remain unlimited.
10. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Burton Solutions and its owner, members, employees, contractors, and agents from claims, damages, liabilities, losses, and reasonable costs arising from your unlawful use of the website or products, your violation of these Terms or the Digital Product License, or your infringement of another person’s rights.
11. Changes; suspension; termination
We may update the website and these Terms from time to time. The revised Terms become effective when posted with a new effective date, unless stated otherwise. We may suspend or terminate access when reasonably necessary to protect the website, Burton Solutions, users, or third parties, or to address suspected violations.
12. Governing law and venue
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Chatham County, North Carolina.
13. General terms
These Terms, together with the Privacy Policy, Refund Policy, Digital Product License, and any applicable signed agreement, constitute the relevant agreement between you and Burton Solutions. If any provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; Burton Solutions may assign them in connection with a merger, sale, reorganization, or transfer of its business or assets.

Refund Policy
Effective date: August 1, 2026
This Refund Policy applies to purchases from Burton Solutions, LLC through burton-solutions.com. Please review it before purchasing.
1. Digital products
Because digital products can be accessed, copied, or downloaded immediately, sales of digital products are final and nonrefundable once access or a download link has been provided, except where required by law or as described below. Delivery of digital products is complete upon provision of access or a link. Before purchasing, review the product description, included files, formats, system requirements, and Digital Product License.
2. Problems we will correct
Contact us within 14 calendar days of purchase if you were charged more than once for the same transaction, received the wrong product, cannot access the files after reasonable troubleshooting, or received a materially corrupted or incomplete file. We will first attempt to correct the issue by providing access, a replacement file, or technical assistance. If we cannot correct a verified problem within a reasonable time, we may issue a full or partial refund, as appropriate.
A change of mind, failure to review the product description, lack of needed software, or a determination that a product does not meet a particular internal, customer, certification, legal, or regulatory requirement does not qualify for a refund.
3. Toolkit plus consulting bundle
For a bundle that includes a digital toolkit and consulting time, the digital-product portion becomes nonrefundable when access or a download link is provided. The consulting portion may be cancelled for a refund before the consulting session is delivered if written notice is received at least 48 Hours before the scheduled session. Burton Solutions may deduct the separately stated or reasonably allocated value of the nonrefundable digital product and any payment-processing amount that applicable law permits us not to return.
Included consulting time must be scheduled and used within 60 Days after purchase unless Burton Solutions agrees otherwise in writing. Unused time expires after that period and is nonrefundable, except where required by law.
4. Consulting cancellations and rescheduling
You may reschedule one time without charge by providing at least 48 Hours written notice. A cancellation or rescheduling request received later than that may result in forfeiture of the reserved time, except in an emergency. If Burton Solutions cancels, or seeks to reschedule, and cannot provide a mutually acceptable alternative, the amount paid for the undelivered consulting time will be refunded.
5. How to request assistance or a refund
Email spburton@burton-solutions.com with the subject "Order Support" and include your name, order number, purchase date, product, and a brief description of the issue. Do not send full payment-card information by email. Approved refunds are sent to the original payment method; posting time depends on the payment provider and financial institution.
6. Chargebacks
Please contact us first so we can try to resolve an order issue. Fraudulent or abusive chargebacks may result in suspension of product access and collection of amounts lawfully owed.
7. Policy changes
The policy in effect when you purchase generally governs that purchase. We may update this Policy for future purchases by posting a revised effective date.

Digital Product License

This Digital Product License ("License") governs digital products and free downloads provided by Burton Solutions, LLC, including templates, toolkits, spreadsheets, presentations, documents, checklists, prompts, dashboards, guidance, and related files (collectively, "Digital Products"). By purchasing, downloading, accessing, or using a Digital Product, you agree to this License.
1. Ownership and limited license
Burton Solutions retains all ownership and intellectual-property rights in each Digital Product, including its original structure, design, text, branding, methodology, and content. Your purchase is a license, not a sale or transfer of ownership.
Subject to payment and compliance with this License, Burton Solutions grants the purchaser a limited, nonexclusive, nontransferable, nonsublicensable, revocable license to download, store, edit, and use the Digital Product for the internal business purposes of one purchasing individual or a single purchasing legal entity associated with the purchasing individual (the "Licensed User").
2. Permitted use
The Licensed User may:
· customize editable files with its own name, logo, document numbers, procedures, risks, responsibilities, and other internal business information;
· make reasonable backup and working copies for the Licensed User’s internal use;
· allow employees of the purchasing legal entity to use the customized materials internally; and
· provide necessary portions to the Licensed User’s auditors, regulators, registrars, customers, suppliers, or professional advisers when reasonably required for review of the Licensed User’s own system, provided the material is not offered for their independent reuse or redistribution.
3. Contractors and affiliates
A contractor may access a Digital Product only while performing services for the Licensed User, on a need-to-know basis, and under written confidentiality and use restrictions at least as protective as this License. The contractor may not keep the original or adapted product for use with another client. Separate affiliates, subsidiaries, franchisees, portfolio companies, clients, or other legal entities are not covered unless the product description or a written enterprise license expressly includes them.
4. Prohibited use
Unless Burton Solutions gives prior written permission, you may not:
· share, distribute, publish, post online, upload to a public repository, sell, resell, rent, sublicense, license, give away, or transfer a Digital Product or an editable derivative to another person or entity;
· use a Digital Product to create a competing template, toolkit, course, membership resource, commercial library, or product for sale or distribution;
· remove, alter, or obscure any copyright, license, trademark, or other proprietary notice contained in the original digital files, except when customizing an editable copy for use as your organization’s internal controlled document, in which case Burton Solutions branding and ownership notices may be removed or replaced.
· claim authorship or ownership of Burton Solutions’ original content or methodology;
· use the product to provide a document-template or toolkit service to third-party clients, except under a separate consultant or enterprise license; or
· use the Digital Product to train, fine-tune, benchmark, or populate an AI model, dataset, retrieval system, or public knowledge base, or submit substantial product content to an AI service in a way that permits retention, training, public disclosure, or reuse by others.
5. Use of AI tools
If a Digital Product includes AI prompts or suggestions, you may use those elements for the Licensed User’s internal work. You are responsible for reviewing the AI provider’s terms, privacy and data-use settings, protecting confidential information, validating outputs, and ensuring appropriate human review. Do not submit confidential, personal, regulated, or proprietary information to an AI service unless your organization has approved the service and safeguards.
6. Free downloads
Unless a free download states otherwise, it is licensed on the same internal-use terms and restrictions as paid Digital Products. "Free" describes the price and does not place the product in the public domain or authorize redistribution.
7. No implementation or compliance guarantee
Digital Products are general starting points and must be tailored, reviewed, approved, implemented, maintained, and controlled by the Licensed User. Burton Solutions does not guarantee that a product is complete or suitable for a particular organization, law, regulation, standard, certification, audit, customer requirement, software environment, or purpose. The Licensed User is responsible for applicable requirements, professional review, document control, validation, training, records, and implementation decisions.
8. Updates and support
Unless the product description expressly states otherwise, the purchase does not include future updates, customization, implementation, legal or regulatory advice, technical support beyond reasonable delivery assistance, or consulting services. A later revision may be offered separately.
9. Refunds
Refunds are governed by the Burton Solutions Refund Policy. Because a Digital Product can be copied after access, it is generally nonrefundable once access or a download link is provided, except where stated in that Policy.
10. Disclaimer and limitation of liability
The Burton Solutions Terms of Use, including the disclaimer of warranties and Limitation of Liability therein, are incorporated into this License. To the maximum extent permitted by law, Burton Solutions is not responsible for decisions, submissions, audits, findings, penalties, losses, or other outcomes resulting from use, modification, implementation, or misuse of a Digital Product.
11. Termination
This License ends automatically if you materially violate it. Upon termination, you must stop using and delete the original Digital Product and all distributable copies, except records that applicable law requires you to retain. Sections concerning ownership, restrictions, disclaimers, liability, and remedies survive termination.
12. Additional licenses and permissions
For multi-entity, consultant, client-facing, resale, training-distribution, or enterprise use, contact spburton@burton-solutions.com before use. Any expanded rights must be stated in a written license signed or expressly issued by Burton Solutions.
13. Governing terms and contact
This License is part of the Burton Solutions Terms of Use. If a product-specific written license conflicts with this License, the product-specific license controls for that product. Questions and permission requests may be sent to spburton@burton-solutions.com.
